Licensing and “The Collective”

When and how much will I get paid for my design?

When: Your commission payments are made according to the schedule specified in your agreement, whether that's monthly, quarterly, or another agreed-upon schedule.

Each payment is accompanied by a royalty statement showing how the payment was calculated.

If your product sells, you should be able to see it and understand exactly what you're being paid for.

How much: Your commission is agreed upon before you sign the licensing agreement and is documented in Schedule A.

You won't be guessing what you'll earn after the product launches. The agreement clearly identifies your commission structure, payment schedule, and how Net Sales are calculated.

Because every design and product is different, we don't use a one-size-fits-all royalty rate. We'll discuss the economics of the product with you and agree on terms that make sense for both sides.

Do I still own my design if I license it to Anodyne?

Yes. A standard Anodyne licensing agreement does not transfer ownership of your design to Anodyne. You retain ownership of your original work while giving Anodyne the agreed-upon rights to manufacture and sell it.

If you ever want to sell the design outright to Anodyne, that would be a separate agreement that both parties would have to voluntarily agree to.

How do I know how many products Anodyne actually sold?

You'll receive royalty statements with your payments.

Your statement will show the number of licensed products sold, gross sales, applicable deductions, Net Sales, and the commission you've earned.

We also provide an audit provision in the agreement. If you ever have a legitimate reason to believe the numbers aren't correct, you have the right to have the relevant records independently reviewed.

Our goal is for you to be able to understand exactly how your commission was calculated without having to simply trust a number we give you.

How do I know Anodyne won't change my design and stop paying me royalties?

You shouldn't have to take our word for it. The agreement specifically protects you from this.

Anodyne may make reasonable changes to improve manufacturability, durability, materials, branding, cost, or safety. However, if the resulting product remains substantially based on your licensed design, it remains a licensed product and continues to generate the commission we agreed upon.

In other words, we can't simply make a few changes, call it a "new" product, and use that as a way to avoid paying you.

What happens if Anodyne never actually releases my design?

We don't want your design sitting in a digital drawer any more than you do.

Anodyne retains discretion over which products we ultimately manufacture and sell, because manufacturing requires investment in engineering, materials, production capacity, inventory, and marketing. We try our best to select products we believe fit with the brand and will provide benefits to both the business and the creator.

However, if your licensed design hasn't been commercially launched within 12 months, you have the right to terminate the agreement and take the design back to the market.

This prevents your design from being tied up indefinitely while also giving Anodyne a reasonable period to develop and launch the product properly.

What happens if the partnership doesn't work out?

Either side can end the relationship under the terms of the agreement. We don't believe a licensing partnership should feel like a permanent commitment.

If the agreement ends, you retain ownership of your original design and regain the rights that were licensed to Anodyne, subject to the specific terms of the agreement.

Anodyne can sell inventory that was already manufactured before termination, and you'll continue to receive the commissions you're entitled to on those sales.

Most importantly, there's no penalty for deciding that the partnership isn't right for you.
